The contract between Acess Limited, trading as Quantifiable and a firm that uses Quantifiable.

The service
Quantifiable is software for UK quantity surveyors: takeoff, bills of quantities, estimating, programmes, tendering and post-contract administration. We supply the software. We do not act as a quantity surveyor, and we do not take professional responsibility for a figure a firm issues to its client.
Who may use it
A workspace is created by a person who can bind their firm. That firm is the customer. Members the customer invites use the service under these terms. The customer is responsible for its members, its clients on the portal, and the data it uploads.
Accounts and security
Each member signs in with their own credentials. The customer must keep access limited to people who should have it, honour any multi-factor policy it turns on, and tell us promptly if it believes an account is compromised.
Fees
Subscription fees are charged per accepted workspace member, monthly or annually, as shown at checkout. Prices are exclusive of VAT unless stated. UK VAT is calculated at checkout where Stripe Tax applies. Unpaid invoices may lock the workspace to read-only after the grace period described in the product.
AI output
Suggestions from the models are suggestions. A human in the customer's firm must accept, edit or reject them before they become part of a priced estimate, bill, programme or report. We do not warrant that a suggestion is complete, current or suitable for issue. See also the AI data-usage statement.
Customer data and confidentiality
Drawings, rates, client names and project files remain the customer's. We use them only to provide the service, as described in the privacy notice and the data processing terms. We do not train foundation models on customer data. Each firm's data is isolated from every other firm's data at the database.
Acceptable use
The customer must not misuse the service. The acceptable use policy is part of these terms.
Liability
Nothing in these terms limits liability that cannot be limited under English law, including death or personal injury caused by negligence and fraud. Subject to that, Acess Limited is not liable for loss of profit, loss of business, or a professional claim against the customer arising from a figure the customer issued. Our aggregate liability in a contract year is limited to the fees the customer paid us in that year.
Term and ending
Either party may end the subscription as the billing settings allow. After ending, the customer may export its data during the retention window. We then delete or anonymise it as the privacy notice and the erasure process describe.
Changes
If we change these terms we publish a new version and the product will ask a workspace owner to accept it before the firm continues. Material changes take effect on acceptance or, if we have to change them for law, on the date we state.
Law
These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
